TGP INVESTOR CIRCLE TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the TGP Investor Circle website, forms, communications, membership services, educational materials, events, and related services provided by The Gathering Place Inc. (“TGP,” “we,” “us,” or “our”).
By accessing or using these services, submitting a form, or joining the TGP Investor Circle, you agree to these Terms.
1. TGP INVESTOR CIRCLE
The TGP Investor Circle is a membership, education, communication, networking, and opportunity-awareness platform operated by The Gathering Place Inc.
Participation in the TGP Investor Circle does not, by itself, constitute an investment, investment contract, partnership, joint venture, or ownership interest in The Gathering Place Inc. or any project or affiliated entity.
2. MEMBERSHIP
Individuals may participate as Circle Guests or become formal TGP Investor Circle members.
Formal membership may include selected benefits such as educational information, member communications, events, promotions, membership identification, certificates, digital or physical membership cards, and other benefits offered from time to time.
Membership benefits may be modified, expanded, or discontinued as the program develops.
3. MEMBERSHIP FEES
Formal TGP Investor Circle membership is currently $99 per year unless otherwise stated.
The membership fee is separate from any investment or investment opportunity.
For qualifying active investors, TGP may waive or include the annual membership fee for a designated membership period.
4. INVESTMENT OPPORTUNITIES
Membership in, registration with, or receipt of communications from the TGP Investor Circle does not guarantee that an investment opportunity will be offered or that any person will be eligible to participate.
Any investment opportunity will be governed exclusively by the applicable offering documents, agreements, disclosures, eligibility requirements, promissory notes, subscription documents, or other transaction-specific documentation.
Nothing on the general TGP Investor Circle website should be interpreted as a guarantee of investment performance or return.
5. INVESTMENT RISK
Investments involve risk, including the possible loss of some or all invested capital.
Past performance, projections, estimates, anticipated returns, property values, business plans, or financial models do not guarantee future results.
Prospective investors should independently evaluate each opportunity and consult their own legal, tax, financial, or investment professionals when appropriate.
6. EDUCATIONAL INFORMATION
Information provided through the TGP Investor Circle may include educational materials concerning real estate, entrepreneurship, generational wealth, private business, community development, and related subjects.
Unless expressly stated otherwise in applicable transaction documents, this general educational information is not individualized legal, tax, accounting, or investment advice.
7. COMMUNICATIONS
By providing your contact information, you may receive communications from The Gathering Place Inc. according to the communication preferences and consents you provide.
Communications may include membership information, requested follow-ups, educational information, event information, reminders, account or service-related communications, and, where separately authorized, marketing or promotional communications.
Message frequency varies. Message and data rates may apply.
You may reply STOP to opt out of text messages and HELP for assistance.
Consent to receive marketing text messages is not a condition of purchase.
8. MOBILE INFORMATION AND SMS CONSENT
We do not sell or share mobile telephone information with third parties or affiliates for their marketing or promotional purposes.
Information obtained through SMS consent will not be shared with third parties or affiliates for marketing or promotional purposes.
Text messaging originator opt-in data and consent information will not be shared with third parties, except service providers that assist us in providing messaging services as necessary to deliver communications requested or authorized by you.
Carrier Liability Disclaimer
Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless service provider and is outside the control of The Gathering Place Inc.
Age Requirement
You must be at least 18 years old to participate in the TGP Investor Circle SMS program. By opting in to receive SMS messages, you represent that you are 18 years of age or older.
9. USER RESPONSIBILITIES
You agree to provide accurate information when registering, joining, requesting information, or participating in TGP Investor Circle activities.
You may not misuse the website, attempt unauthorized access, interfere with its operation, submit fraudulent information, impersonate another person, or use TGP materials for unlawful purposes.
10. INTELLECTUAL PROPERTY
TGP Investor Circle names, branding, educational materials, presentations, graphics, documents, program materials, and other original content may be owned by or licensed to The Gathering Place Inc.
You may not reproduce, distribute, sell, publish, or commercially exploit protected TGP materials without appropriate authorization.
11. THIRD-PARTY SERVICES
We may use third-party providers for website hosting, customer relationship management, communications, payment processing, events, membership administration, and other operational services.
Use of certain third-party services may also be subject to the terms and policies of those providers.
12. WEBSITE AVAILABILITY
We strive to maintain reliable access to our services but do not guarantee that the website, forms, communications systems, or other services will always be uninterrupted or error-free.
We may modify, suspend, update, or discontinue features when reasonably necessary.
13. LIMITATION OF LIABILITY
To the extent permitted by applicable law, The Gathering Place Inc. and its representatives will not be liable for indirect, incidental, special, or consequential damages arising solely from the use or inability to use the general TGP Investor Circle website or membership services.
Nothing in these Terms limits obligations or liabilities that cannot legally be limited.
14. PRIVACY
Your use of the TGP Investor Circle is also subject to our Privacy Policy.
Our Privacy Policy explains how we collect, use, protect, and disclose information.
15. TERMINATION OR SUSPENSION
We may suspend or terminate access to TGP Investor Circle services when reasonably necessary because of misuse, fraud, unlawful conduct, material violation of these Terms, or threats to the security or operation of the program.
16. CHANGES TO THESE TERMS
We may update these Terms periodically to reflect changes in our services, technology, business practices, or legal requirements.
The effective date shown at the top identifies when the current version became effective.
17. GOVERNING DOCUMENTS
If these general Terms conflict with the specific written documents governing an investment, transaction, membership benefit, event, or other specific arrangement, the applicable specific written documents will control with respect to that arrangement.
